A Delaware judge, Vice Chancellor Morgan Zurn, rejected Paramount Skydance’s attempt to accelerate its lawsuit against Warner Bros Discovery. Paramount sought to compel Warner Bros to disclose financial details surrounding its decision to favor Netflix’s $82.7 billion takeover offer over Paramount’s $108.7 billion bid. The judge ruled that Paramount had not demonstrated “cognizable irreparable harm” that would necessitate immediate access to the information.

Paramount argued that Warner Bros shareholders needed the financial details to make an informed decision on Paramount’s $30 per share all-cash tender offer before it expired on January 21st. Warner Bros countered that the request was premature and that financials would be disclosed when seeking shareholder approval for the Netflix deal. They likened the situation to a movie still being filmed, suggesting it was too early for the court to intervene based on incomplete information.

Beyond the lawsuit, Paramount is also attempting to pressure Warner Bros by nominating directors to its board and proposing changes to its bylaws, aiming to prevent the spin-off of its cable TV business. The dispute centers around control of valuable film and television studios and content libraries, including those of CBS, MTV, Nickelodeon, Harry Potter, and DC Comics.
